USB ports, thats about it. oh, and a mips instead of a PPC processor, but thats kinda debatable as to which is actually faster

I have both (though I'm selling my Series1 on eBay at the moment) - and I can say that with similar numbers of SPs, etc, the Series2 is definitely faster at handling changes to priority, etc.
The Series2 units will also be getting many software features that will be be added (at least officially) to the Series1. TiVo has already started to advertise them.

On the downside the series 2 has degraded picture quality and a slight problem with AV sync issues (If the unit plays continously for several days with no user input the AV sync will drift. IT will generally correct if any playback controls are used on the remote, but is still annoying and likely the result of try to do in software what the series 1 did in hardware.)
And tivo is doing everything they can to prevent series 2 hacking.

3.2 appears to have fixed these issues. There is a definite picture quality improvement.

Also, TiVo seems to be adding TiVoWeb, MP3, and JPEG support. Read about it here (http://news.excite.com/tech/article/id/177368%7Ctechnology%7C12-12-2002%3A%3A14%3A11%7Creuters.html).
Not sure if Series 1 will be getting any of that... :(

Actually I had based that observation on 3.2. I am glad I never saw 3.1.
